The parent company of Denver-based Village Inn said it is acquiring J.Alexander’s, which operates 33 restaurants in 13 states including Colorado.

Fidelity National Financial Inc., the majority owner of Village Inn operator American Blue Ribbon Holdings, said the companies will merge.

American Blue Ribbon owns and operates 674 restaurants in 43 states under six different concepts and names, including Village Inn, Bakers Square, Max & Erma’s, Stoney River Legendary Steaks, O’Charley’s and Ninety Nine.

Fidelity said that following the transactions, the total combined annual revenue of the restaurant operating company will be approximately $1.5 billion .

Under the merger agreement, shareholders of J.Alexander’s may elect to receive $12 per share in cash or a combination of $3 in cash and one share of Class A common stock of American Blue Ribbon.

J. Alexander’s is headquartered in Nashville, Tenn. Fidelity is based in Jacksonville, Fla.
